CME vs CFTC Perpetual Futures Lawsuit: Are US Perps Futures or Swaps? — Published by Buildix, a crypto orderflow analytics platform with real-time VPIN, CVD and whale tracking on the 100 most liquid Hyperliquid pairs.

The CME perpetual futures lawsuit against the CFTC moves to its next deadline this week. CME filed its opposition to the regulator's motion to dismiss on October 2, and the CFTC's reply is expected on October 16, according to The Coin Republic. Barron's framed it on October 10 as a fight in which the future of perpetual futures markets hangs in the balance, per BizToc's summary.

The question in front of the court is narrow on paper and large in practice: is a perpetual contract a future or a swap? The answer shapes how US regulated venues can list perps, and it lands in the middle of a month in which the CFTC has been expanding perpetual products on one side and calling other contracts swaps on the other.

What CME Is Asking the Court to Do

On May 29, the CFTC approved Kalshi's bitcoin perpetual futures contract, ticker BTCPERP, as a futures product and issued a policy statement letting other exchanges list similar contracts. The Coin Republic reports that the statement covers digital commodities with deep, active and continuous spot markets, while perpetuals on other asset classes need individual review. Dechert notes Kalshi's perpetuals reportedly passed $1 billion in trading volume within a week of launch.

CME sued on June 18 in the US District Court for the District of Columbia, naming the CFTC and Chair Michael Selig, per Cointelegraph. It asks the court to vacate the Kalshi order and the policy statement, and to declare BTCPERP and similar digital commodity contracts swaps under the Commodity Exchange Act, according to Dechert. CME also argues Selig acted alone. Cointelegraph reported that as of June 18 he was the CFTC's only commissioner.

Funding Payments Sit at the Center of the Swap Argument

CME's core theory is about contract mechanics, which is why it matters to anyone who trades perps. Dechert summarizes CME's position: a perpetual pays funding tied to the commodity's value, transfers price risk and conveys no ownership interest, and "there is no set future delivery, the defining feature of futures." The Coin Republic adds that CME points to earlier CFTC enforcement cases that treated crypto perpetuals as swaps.

The label carries real costs. Dechert lists them: anyone who regularly deals in swaps above a de minimis threshold must register as a swap dealer, swaps face stricter margin, collateral and reporting rules, and futures get more favorable tax treatment, including partial long term capital gain treatment and loss carrybacks.

Selig's public answer, per Cointelegraph, is that perpetual futures "trade very similarly" to other contracts and that the Commodity Exchange Act does not define "futures contract". A CFTC spokesperson called the complaint "frivolous" and described it as "lawfare".

The CFTC's Motion to Dismiss and the October 16 Reply

The CFTC moved to dismiss on September 2. The Block reports the agency called the suit "much ado about nothing" and argued CME lacks standing because it has not plausibly shown competitive injury. CME can list the same contracts, has said its customers are not asking for them, and its own cited figures show bitcoin and ether futures volumes were higher in June and August than in May, when the order was issued. The CFTC also asked for an oral hearing.

The agency's second line is that winning would not help CME. Even if the contracts were reclassified as swaps, Kalshi and other exchanges could keep offering them under that label, according to The Block and The Coin Republic. The CFTC also argues that protecting CME from competition falls outside the interests the Commodity Exchange Act protects.

The case sits before Judge Colleen Kollar-Kotelly. The Coin Republic reports she already denied the CFTC's request to hold back the administrative record while the dismissal motion is pending, noting it could contain evidence of the competitive injury CME claims. Jake Chervinsky, CEO of the Hyperliquid Policy Center, said CME's October 2 filing did not adequately answer the CFTC's standing and zone of interests arguments. No ruling on the motion has been issued.

The CFTC Is Expanding Perps and Calling Other Contracts Swaps

The lawsuit runs alongside two other October moves. On October 5, the CFTC Division of Market Oversight granted no-action relief letting exchanges convert existing broad based security index futures into perpetual contracts, with the relief expiring on October 20, per KuCoin News. Conditions include advance notice, a chance for customers to exit positions and risk disclosures.

Two days later, on October 7, the CFTC proposed classifying event contracts on sports, politics, culture and weather as swaps, according to ForkLog's weekly review. That would put platforms like Kalshi and Polymarket under CFTC authority rather than state gambling regulators.

The contrast is the point. The agency is using the swap label to bring event contracts under its authority while defending the futures label for perpetuals. CME's case asks a federal judge whether the second choice holds up under the Administrative Procedure Act, which is the basis of its arbitrary and capricious claim according to Dechert.

What Perp Traders Should Watch Into the Ruling

The near term dates are fixed: the CFTC reply on October 16 and the end of the index perpetual no-action window on October 20. A dismissal on standing would end CME's case without the court deciding whether perpetuals are futures or swaps. A ruling for CME, per Crypto Daily, would mean the approval could be vacated and the policy reset.

For orderflow traders, the legal fight is about where perp liquidity can live. Offshore and onchain venues such as Hyperliquid do not depend on this ruling, but US regulated perps compete with them for the same funding driven flow. The ruling decides how much of that flow can stay onshore.

The practical habit is to keep the funding and open interest picture across venues in one view, so a legal shock shows up as data rather than headlines. On Buildix, the screener tracks Hyperliquid funding and open interest across pairs, and the BTC pair view at buildix.trade/pair/BTC adds CVD and the liquidation map to show whether a move is driven by aggressive buying or by forced closes.

A perpetual is the same contract whether a judge calls it a future or a swap. The label sets the rules for who can list and trade it, and that decides where the next wave of retail flow lands.
